AMS Board Community Director Positions are Open Until March 14th!

About the AMS Board of Directors:

The Board of Directors governs the Alma Mater Society Inc. (the Corporation), which is the incorporated not-for-profit entity of Queen’s University’s undergraduate student government (the AMS). The Corporation is comprised of over 600 paid employees (across salary, waged, and honorarium), includes 13 student-run services spanning retail, hospitality, and media (among others), generates over $16 million in annual operating revenue, and has $11 million in assets. The role of the Board is separate from the advocacy issues of the AMS, and consists of three key mandates:
➢ Provide strategic oversight of business planning for all offices and services of the AMS
➢ As a fiduciary, monitor the management practices and policies of the Corporation to support the financial viability of the Corporation; and
➢ Govern employment policies and HR practices of the Corporation.

Board Member Responsibilities:

➢ Providing oversight to AMS management as they implement strategic plans and objectives;
➢ Reviewing agenda and supporting materials prior to Board and committee meetings;
➢ Approving the AMS’s annual budget, goal plans, and strategic business decisions;
➢ Being informed of, and meeting all, legal and fiduciary responsibilities;
➢ Assisting, as appropriate, in identifying and recruiting other Board Members;
➢ Partnering with the Executive and Board members to carry out Board resolutions;
➢ Serving on and actively participating in standing and ad hoc committees (i.e. Finance & Risk, Personnel, and Governance); and

➢ Ensuring the Corporation’s strategy aligns with its mission of serving and representing the diversity of students at Queen’s University while maintaining long-term financial viability

Board Terms & Participation:

Community Directors on the Board of Directors of the Alma Mater Society Inc. will serve May 1 2026 – April 30 2029. Board meetings are held once a month throughout the year, with three daylong meetings over the summer. Committee meetings are held in coordination with full Board meetings. We acknowledge that for Community Directors not based in Kingston, travelling can be an onerous obligation. As a result, in-person attendance is preferred where possible, and teleconferencing solutions are made available where in-person attendance is not possible.

Qualifications:

➢ Extensive professional experience, executive leadership experience is an asset;
➢ A commitment to and understanding of the AMS’s beneficiaries and Queen’s University;
➢ An ability to draw upon experience to provide professional advice to student leaders and to build consensus amongst a diverse group of individuals;
➢ Personal qualities of integrity, credibility, and a passion for improving the lives of the AMS’s beneficiaries.

1. ALL COMMUNITY DIRECTOR APPLICATIONS ARE DUE MARCH 14th at 5PM; 

2. All successful applicants will move forward to an interview by the Nominating Committee who assess all deemed qualified, capable, and eligible for the role; 

3. All forwarded applicants by the Nominating Committee will be subject to either election or appointment on March 24th at the Corporate Annual General Meeting; where our corporate members are able to ask up to 3 questions and cast either: i.) A confidence motion for where there is less then 3 forwarded candidates ii.) A rank vote for where there is more then 3 forwarded candidates; where the top ranked choices across the members are the successful candidates.

4. All community directors will be ratified at March 26 Board
